The working agreement
Last updated: August 2026. These terms cover the ground rules of working together. The short version: fixed price, fixed scope, you own everything, and we both behave like adults.
1. Proposals & scope
Every project starts with a written proposal: the scope, the fixed price, the timeline and the milestones. The proposal, once accepted, is the agreement. Work outside the written scope is quoted separately and approved before it starts.
2. Payments
50% of the fixed price is due to book your slot. The remaining 50% is due at launch, before final handover. Projects above $10,000 are billed in milestones set out in the proposal. Prices are in USD and exclude any applicable taxes.
3. Revisions
Design includes two revision rounds per screen set; build includes one QA round per milestone. The weekly demo rhythm exists so feedback arrives early, when it's cheap. Major direction changes are scoped as changes, honestly priced, and never silently absorbed.
4. Content & dependencies
You're responsible for providing content (copy, images, brand assets) by the dates in the project plan. Late content is the #1 cause of late launches — the timeline moves only with your approval, and never silently.
5. Ownership
On final payment, you own the delivered work: the design files, the Webflow project or code repository, the domain and the hosting account. We keep the right to show the work in our portfolio unless we agree otherwise in writing.
6. Third-party services
Projects often involve platforms we don't operate (Webflow, WordPress, Cloudflare, payment providers, email services). We set them up and hand over the accounts. Their terms apply to their services, and we'll point you to the relevant ones at handover.
7. Maintenance & support
Every project includes a monitored launch week. After that, fixes and updates are covered by a care plan (from $79/month) or quoted per request. Unsupported sites will eventually need updates — we'll tell you plainly when something is overdue rather than quietly letting it rot.
8. Cancellation
You can cancel any time. Work completed up to that point is billed at the proportion of the fixed price it represents, and the deposit covers the first phase. We can cancel if the relationship stops working for us too — with 14 days' written notice and the same proportional billing.
9. Liability
We deliver the work described in the proposal to the standard described in the proposal. Our total liability is limited to the amount you've paid us. Neither side is liable for indirect or consequential loss — and neither side is liable for things outside its reasonable control.
10. The spirit
These terms exist for the edge cases, not the everyday. In the everyday, we behave like professionals: fixed price, honest advice, direct communication. If a clause ever feels like it's being used against the spirit of the project, email hello@layoutory.com and we'll sort it like adults.
